Discussion with Elcherre regarding requirements.

Elcherre, 

I'm not big on contracts but I feel that it would be good to make up something basic so that we both understand our responsibilities and expenses. The deliverables will include everything outlined in the requirements that we agree upon for this release. Future is future. elcMy part is developing the framework and the administration forms so that you or someone working for you can manage most of the content without compromising the design. I will provide some training and documentation to assist. 

Development/Design fee : $4500.00 

Monthly fees: 

$30 : Est. $30/month for hosting 
$0   : Monthly maintenance - There are no monthly maintenance fees. 
$0   : Sponsorship letter - Assuming we can come up with a satisfactory template, I will develop a form to auto-create the letter. 
$200 - $500 : Logo - If we need to recreate or create a logo estimate $200-$500. 
Licenses, misc fees : If we need to use any commercial addons or stock photography those fees would be extra. Nothing is anticipated at this time. 

Payment : Optional downpayment. 
June 1 :  $1000 - The site will not be complete but it will be minimally presentable. 
Aug 1 :  $1000 - Complete (maybe sooner) 
Payments : We can discuss a payment plan; paid off by the end of the year would be optimal.

If you come up with new functionality down the road that will be new charges at my current rate of $55/hr.

Donald Green was a legal client of my brother's. Via my brother he referred Elcherre to me. 

A couple months after the referral the relationship fractured with Elcherre. She accused him of stalking her, sending incessant text messages, more. She regularly claimed to me that she was afraid of him, afraid that he would come to Georgia and harass her. She claimed that he was attempting to contact her fighters and turn them to him. This included a female fighter in India. She also said that he threatened to kill Patrick Dyke (Nigeria coach) if he ever came to America. I have no doubts that this was possible but no evidence to support any of the claims.

We cannot use him because of the legal relationship with my brother. We also cannot reference my brother beyond the initial introduction for legal reasons. This is FYI material.

Riddick Bowe Champ Camp?

Riddick Bowe, x heavyweight champion, was a personal friend of Elcherre. Like many fighters he life was in disarray financially. She wanted to get him involved, perhaps use his celebrity status, to help get the business going. There was a plan to organize training/boxing events to entice fighters to join. ‘Riddick Bowe Champ Camp’ was going to be one of the events put on through Elcherre's Promotions. This never took off. 

In September of 2021 (or perhaps an earlier trip), Elcherre and Riddick went to Dubai where he was a celebrity at a boxing exhibition. This might be where Mamadou Barry entered the picture.

I don't have a clear picture of the first couple trips of hers to Dubai

Riddick  Bowe  A 2x Heavy Weight Champion boxer who competed between 1989 and 2008. He resigned as the undisputed world heavyweight champion in 1992, and as an amateur he won a silver medal in the super heavyweight division at the 1988 Summer Olympics.

Jerry is/was Elcherre's childrens' Father. He developed health problems including multiple strokes that created business distractions.

Researching fighters on Boxrec; communication with fighters

Allan Olipane is a business coach  whom I met as a client. When I saw how messy Elcherre's business was I introduced him and after a couple Zoom calls he got entrenched as part of the core team. Money was on his mind. Once aboard he tried to build an organization where he and Elcherre would run the organization. He ended up taking charge of the  zoom core team meetings, mostly on  Fridays. He saw himself as someone the  business could not do without.

Like the rest of the  core team including  me he input time anticipating that  his time would be rewarded in a big way when the work climaxed. Unfortunately he turned out to be a control  freak who seemed to care more about money/control than the goal of the business  which was to improve peoples' lives, the lives of the fighters and their families. In my opinion he was a fake.

After the incident with Abdo where he went behind  my back I threatened to resign. Elcherre didn't want that. I remained with the business but my communication with Allan ended - period. Later she told me that he said I served no useful purpose - and I believe should be let go. From my perspective I told her to be wary of him, that many of his actions were of questionable ethics. She later determined the same but had no one else who could do the work he did so kept him.

I think that one reason why me sent packing was that he was afraid of me. He knew that I had a corporate understanding of business ethics and of course knew that his actions were unethical.

Later when it came to investing Elcherre threw out several times that  she needed money for the upcoming concerts, Janet Jackson in particular, and that Allan and some guy named Jose were ready to jump onboard. If  they did invest then according to her they would be principle investors and would have some business control which might eventually mean control over her and bringing in all their people. When I became aware of this I thought and decided that that was wrong. This eventually brought me along to investing as a "Silent Investor'. As I was not in communication with anyone but Elcherre and I believed her words I really have no idea whether Allan and Jose were really possible investors. This could have been a ploy to get money from me. This was my initiation into being an investor, about $50,000.

When she needed more money later it was I fell into the same trap where the threat of Allan investing scared me into investing. This happened several times.

Sam is a friend of mine whom I met in California but also worked for me as a subcontractor with Sun Microsystems back around 1998. When we were attempting to find investors other than Allan, Charles and Jose we talked about creating an investor fact sheet, something that Allan was supposed to do but was slow or reluctant.

I emailed Sam and sent a copy of the investor fact sheet. He replied and surprisingly did some research and found that Elcherre had a legal warrant out for her for some incident. I asked her about this and she said something like it was old, dismissed. He also found that  Charles Houston had been disbarred at one point.

Fortunately Sam chose not to invest. I approached several other of my friends who listened but chose not to invest.

I don't have all the answers however I think she said something to me about Jamaica and mentioned the Royal family. No I did not dig. However she talked with me about a book she is writing about the Royal family (through the centuries) and such; some of this will be cleared up if/when the book gets published. One by one - the business is not a charity however we tried to do a charity type event during the Christmas season to help support her fighters. Elcherre does have a non-profit however we are not doing anything with it at this time. Also one thing about working in the Middle East is that they are not high on charities so we had to minimalize this and focus more on assisting fighters  to  help themselves. It's a bit of a fine line.

Elcherre is familiar with the warrant; it is something insignificant and it was dropped. I forwarded the link, not your email, suggested that she be prepared to defend the incident with an explanation. 

P.S. When I bought my car in Texas I did a little research on the guy I bought it from. He also had a record but it appeared incidental. I talked with my bank about the safest way to handle the transaction. We both bank at Chase. We met at a Chase near his home outside Houston and followed the recommendations of my banker. But get this, when I was searching for the car I did come across a very elaborate scam. To make the purchase I was directed to an official-looking Edmunds website. They used edmunds in the sub-domain name to perpetrate the scam. It was smooth. I decided  to contact Edmunds and they confirmed the scam. I tried to inform Google, but they really don't care. I posted the scam on my consumer website.

Track record - Yes absolutely and we have talked about this many many times. There have been a couple really insignificant boxing matches that were not worth posting. The Christmas fundraiser was too little too late. Other than my contribution we got next to nothing. Nice idea, poor untimely execution.

Until we have one of these events as history the website itself is static, lame. It will come alive after the JJ concert. I am pushing for us to get media, articles etc. and if humanly possible a candid personal interview with Janet. It absolutely frightens me the thought of interviewing a celebrity like her, I could imagine wilting in my feet. Haha.

Your observations are accurate. What we have with Janet Jackson is commitment from her and her representative/agent. Now we have to execute. I believe in this and I am laying it out to help with funding. Sometimes you have to gamble.

Anyway, we're still looking for investors but are really close to our goal.

You like Ferraris? A Ferrari repair shop opened up in Erie a few years back. My neighbor works there, invited me for a tour. Holy macarel! I visited the shop - it is absolutely huge with upwards of 60 Ferraris and some other vintage vehicles. New, classics everything. It's a car show in itself.

It sounds like she's been doing these promotions for a while, but I don't see any evidence of actual events of hers taking place.  I know there was Covid, but as far as I can tell there is zero track record of anything substantial.  I assume she raised money last time when you emailed, but I wonder where that money went - it doesn't seem to have produced any real events that I can tell (I don't see any documentation of past fights, events, etc on her website).  I see a lot of photos with celebrities, etc, but nothing real having taken place.

Shovon Choudhury is a Freelance developer from Bangladesh whom I met through freelance.com and assisted me (for pay) on several projects. I asked him to join us and be part of the team as his amazing skills would be of great benefit. He was introduced in a zoom call but remained in the background after that. Other than being a great friend and willing to support me he would not be of much if any legal value.

Shovon is people-friendly programmer/web developer/software engineer who loves digging into and solving technical problems. 

He got his B.Sc. from National University in Bangladesh and is pursuing his Master's from Jahangirnagar University in Dhaka, Bangladesh. Shovon's Master's project is a Result Processing System which is suitable for use by college education departments. He is highly skilled in many programming languages. 
 

Oksana is a woman Elcherre met who lives in Dubai. She was to be part of the regular team. At one point Elcherre had me add her to the team page, then later had me disable Oksana. Later sometime around the failed Dubai trip she became important again. I think Oksana introduced Elcherre to another promoter who requested Elcherre's assistant in connecting him (the promoter) to celebrities for a planned event. This apparently evaporated.

Jonquil has 20 years experience as a boxing promoter.

Princess Joy was a connection, maybe FaceBook, who became a friend of Elcherre. She was to be part of the secondary team and on the website however Allan, I think Zagary and maybe Charles raised some objections due to the provacative way she dressed. They didn't want that kind of person representing us in public.

She is the owner/editor of Petrie Magazine and is based in California although on social media I think she was somewhere in Africa. She was to help with media, promotions, some other stuff. 

She talked with me a few times over the phone however she was extremely reluctant to join in with the Zoom calls. She is protective of her privacy, not likely to be helpful in an way.

Elcherre referred to her as her Sister.

Jose was some guy who was expected to be an investor. I never got a clear picture of who referred him. At one point it seemed to be Allan, then Elcherre as well. I  never got more than his first name. 

Elcherre claimed that Allan and he were having secret conversations about investing and ostensibly taking over the business. Don't quote me exactly. Honestly, I don't know if he ever existed. It was suggested that they would band together their resources and invest and grab a majority share.

She let this leak to me and subsequently I came along as a silent investor. She did not want anyone else to know that I invested because they would be furious potentially resulting in resentment, anger, more dysfunction.

I think maybe he was seen as someone who would manage a future boxing gym in New Jersey. Not much.

Elcherre's older brother. He was brought into the core team because he had connections in high places in various African countries. They rubbed badly frequently; he seemed to want power in the business, also seemed to want to use the business, concerts, etc to further his own business. Elcherre reported several times that he was a wife beater, one reason why she didn't like or respect him.

He works with Presidents, Ambassadors, political and social dignitaries to bridge the Global Community.  As a liaison he works with these people to create economic investments for sustainable infrastructure growth and on social programs that  create sustainable living conditions in underdeveloped nations with the goal to build social and educational institution.

Zagery studied at Queens College, NY. He assists in International, Racial and Cultural Affairs to find solutions to break those barriers. 

The sisters are 2 or 3 business women in Dubai whom Elcherre met during one of her trips. They have supposedly offered to help her in her endeavours. She never passed along their contact information.

Changing domain name is a big decision and may cause the head to spin backwards; if we do it it is better to do it sooner than later. Focusing on 6-10 character names, it will be difficult to get one descriptive like a long name and many you like will be unavailable or unavailable as .com.

Setting up / managing business email

I think her last name was Fields. She is Elcherre's cousin in Youngstown, Ohio. Elcherre attempted to recruit her to do some administrative work for the organization. Sonja did not have a workable computer so I grabbed an old one that I had and sent it to her. This was a major FAIL. She either didn't have the time or even low level skills to accomplish the work.

Elcherre then opted to enlist Sonja to take care of her children during the fateful Dubai trip which cost me over $2000. Elcherre paid Sonja's flight to Atlanta and Sonja brought my computer on the trip. I never did recover the computer.

Finding an intern probably no problem.The problem is finding one that 
has legal skills and in the expertise you need. It's common for interns 
to work as gophers and with filing cabinet skills when they are first 
hired.  Maybe a 2nd or 3rd if they do 3 years one would have some 
skills, as they also have some education behind them.

I agree with you.

Okay,

Something that I especially don't do well is sticking to contract. I 
commonly do extra work without getting too sticky.  Not good if you have 
a family to feed. We seem to put relationship ahead of contract, really 
need to find balance.

Sometimes in discussions before setting up the contract you/we have to 
go out of our way to do some research to ensure that we can do what we 
say we can do. It's not like being a salesman who sales something first 
then goes to development and tells them what he just sold and tells them 
to do it - without knowing if it is even possible.

We want to know beforehand so we spend some extra unpaid time. It's a 
gamble. There is some balance on how much, where it ends.  That's feels 
like it's on us. The expression, unpaid consulting, comes to mind.

That's why I'm a little uncomfortable with sending what comes off as a 
bill for what was never made clear.

I don't know about Zagery. He seems to be attempting to control 
communications, funneling it though him. You and he have history, 
disconnects about control. You are the visionary about the business.

If you are to continue with him he needs to understand his role. It's 
vital that you communicate direct with Dr. Warsame and find out if and 
what has been promised. No one but you should be making promises for 
what you can do, money or otherwise.

The Investment - She let it slip that she needed a lot of money to produce the  Janet Jackson concert and was going to have to take that money from Allan, Charles, perhaps Jose and others who she didn't want owning her. There were discussions centering around fear of takeover by them. She was concerned that by letting them invest that they would become principle owners, principle investors/stockholders and she and I would be pushed aside and my team would be set free. 

It would become all about financial gain and not about helping the fighters.

I wanted to be there to support her as the leader with no interest in taking the reins. I thought about my finances and by cashing in my  annuity and savings/checking I would be able to round up about $50,000 which was what she first said she needed. I was brought in as a silent investor. By doing this she did not have to disclose to the men that it was me which would have raised a monstrous objection/argument/chaos as Allan wanted me out and would have screamed at the thought of  me having  a greater  portion than him. Charles didn't believe a woman should run the organization and also would have screamed at me being a principle shareholder.

Around the beginning of October

Early October she came to me and we discussed going to Dubai on a 9-10 day trip and ironing out details. Sure I consented. She need me to accompany her when flying to Saudi Arabia and Bahrain. She agreed to  pay my expenses which really meant to reimburse me later for the flight. However she fully agreed to arrange and pay Hotel expenses.

At the last minute she called me, sounded almost in  tears, as the paypal money/credit she  expected had fallen through. I think she said she been applying money to her personal account rather than business. Anyway she was desperate for another $10,000 that she would need in Dubai. She made mention that she could get it from Allan. The mere mention of taking money from Allan was frightening.

I agreed to advance/loan her my emergency money for the trip, under the assumption that she would return it after the trip.

The trip started out badly. When I got there and met her she had not taken care of the hotel. We got to the hotel very late and there were no rooms available that night. We ended up making reservations for the next 3 days individually and sleeping in the lobby.  She didn't take care of us as she said she would. This left me exceedingly disturbed. The hotel cost me over $800 for three days.

The next day was a complete waste. While I was expecting to get to work she spent much of her time recovering from jetlag, etc. Day lost, money wasted. Other than some discussion and planning not much was accomplished day 2. I made some connection with a guy from Saudi Arabia who offered some tips regarding the arena we were to visit.

I don't remember whether it was on day 2 or day 3 but the Saudi Arabia trip plans came to a screeching halt. We learned of some bombing / fighting in the country and decided to cut Saudi. In the afternoon we met at an outside terrace place on one of the upper floors. She got a call from her Bahrain contact and they seemed to work out details thus eliminating the need to fly to Bahrain.

In the evening Mamadou Barry visited us at the hotel. She gave him some things and I gave him some clothes I'd picked up on sale at Wal-Mart. It was very important to her to show the world what kind of humanitarian she was so she had me take pictures and do some videos laying out all the stuff on a table with Mamadou. Mamadou and I talked later - neither of us liked this - it's not exactly an esteem builder.

That eliminated the primary need for me to accompany her on the trip as well as spend more hotel money.

On the last day I was there we needed to meet and discuss some business so we went up a few levels to one of the smaller conference rooms. I'd checked earlier; in order to use these rooms they needed to be reserved and a reservation fee paid.

We got lucky the day before with Mamadou but not this day. One of the hotel staff came by and indicated we needed to leave. Lots happened. Elcherre expressed outrage making wild claims that we were hotel guests and entitled to use the room. It sounded like she said something about me having arranged access which was a lie. I was dumbfounded, embarrassed. She refused to leave. One or two supervisor came along and she got into it with them as well.

I sat there listening getting angrier and angrier. She claims to be a humanitarian and this is how she treats people, some of which were certainly foreigners who could lose their visas. When she returned to the room I told her that this was not appropriate and I made a reference to ‘The Ugly American’. She didn't seem to care. 

I told her I could not stay, continue the trip with her and indicated I was going to change my flight and return home. She didn't care and that was it. I returned to my room, called and changed my flight (with fees) and left the next morning.

Justification:

• She didn't follow through with the hotel expenses
• My presence was no longer a necessity
• The real Elcherre was exposed

After the trip when we talked she said that she got everything done that was necessary. I asked her when she was going to return the $10,000. She claimed that it was investment money and refused to return it.

This took quite some time to gather all the line items into a single document. Of note there were a number of PayPal transactions in which we passed money back and forth in order to  build up your PayPal reputation. That is what I expected with the $10,000 loan. To the extent that I identified all the transactions correctly those particular ones have been ignored in the document. Mistakes are possible, yet this should be close if not accurate.

Aside from the documented transactions there are undocumented hours by me in addition to work I paid Shovon to do. Note the running balance for hosting/email.

In order  to be able to get money to you  I had to both cash-in an annuity and refinance both my car and my home as well as take on a project for my brother.

I will owe taxes on the annuity, somewhere up to 20%, potentially $7000, in a  couple months. The refinancing means I am paying $599 per month on the house and about $313 on the car. With my limited income that  places me about $912 in the red every month. Sending my girlfriend (not on you) $450 further complicates the in-the-red. I had to cut paying Shovon.

The way you talked I fully expected to get the investment back in 2022, possibly as early as September. That has not happened and every month this drags out my finances dwindle further towards exhaustion. If you are wondering why I am extremely stressed, this is your answer.

exclusive contracts with most entertainment artists and that  there is 
currently some legal proceeding going  on with  a popular star. That

Other than the  ceo account, none of the other  accounts are being used, not even elcherre. All this time I have been paying  for unused  accounts, an extra $24/month.

I already gave you administrative privileges. Unless you want to keep me there, you really don't need me either, as well as your elcherre account. That  will lower  the  monthlies  to $6.

This has become a problem for  us both. It's now about 8 weeks since we talked about hosting and you agreed take over costs. You have said many times that you would take  care of it. As mentioned I cannot afford the monthly fees and now have over $900 in built up back charges. 

Without you signing up for the new webhosting at hostwinds we cannot do our part, configure the new server and transfer the website. This takes time, days to complete. We need lead time. Doing this at the very last minute does not work. The email hosting is also in jeopardy. 

At this point we cannot guarantee to complete our tasks by the end of the week meaning that  both email and webhosting will expire. This means no access to your ceo@elspromo.com email account as well as the website. 

I can appreciate that you are busy as we all are, however this is critical. That being said, do not blame us if this comes to that and both expire at the end of this week on June 30.

1) Charles will not/ever respond to me. Please verbalize with him, not just a phone call. This is a big deal. 

2) You sent the MAC back without the power adapter, charging device. I would like to test it but need to get it charged and I don't wish to pay $25 for a new one, especially if I don't know if the computer is fixable.

Since  you missed the cutoff of getting the hosting info to me a few days back, I will not have sufficient time to transition the hosting to Hostwinds by the first of October even if you pay today.

I have done everything reasonable to make this easy for you.

That said, a payment  of $62 is due on Sept 30.

You have been late with payments almost every month, sometimes more than 15 days, prompting annoying reminders. This doesn't work, doesn't not help our working relationship. 

Business is business and needs to be handled as business. Until we successfully get this fixed the right way:
 

1) Both website and email hosting will be disabled on the 1st if payment has not been received by the 30th. 
 

Impact: This means you will not be able to check/send/receive ceo@elspromo.com email.
Impact: Website will not be accessible.
 

2) A late charge of $5 will be added if payment is late.

3) If payment is received by the 5th web and email hosting will be reinstated.

I asked this a couple times last year.  You sent the computer back but with the wrong power adapter - some other device. I tried all the adapters I have and none work. I also checked with a neighbor and his mac has a different adapter, probably older. I'm pretty sure I even sent you a picture of the port where it plugs in. You didn't reply. 

Without the power adapter I cannot power it on and check if it can be salvaged. I really don't want to spend $25 to $30 on something that may not be salvageable. Can you take a look and find it or send me $30 to purchase a new one?
